This Agreement defines mutual duties and obligations in between the Seller and the Buyer who purchased goods from this site. The Seller reserves the right of changing the terms of this Agreement at any time. The Buyer should refer to the terms of this agreement before placing any new order and purchasing.
1. Definitions
1.1. Buyer is a capable and full age person, or legal entity, who placing orders and purchasing via the site www.japanline.jp.
1.2. Seller is a registered legal entity in Japan ジェイピールー株式会社 (JP-RU CO.LTD) acting on the basis of the Charter and represented by Director Tomoko Yamamoto (Gal).
1.3. Online Shop is a website based on a server located in Japan with the unique address www.japanline.jp. The Online Shop contains information regarding the Seller and his operation, and the Goods offered by the Seller for purchase.
1.4. Website is the site with the unique address www.japanline.jp
1.5. Product or Goods is an object of the civil circulation of Japan that exhibited for sale by the Online Shop.
1.6. Order is online request placed for delivery goods with full payment for this delivery. The Order is independently placed via this website and willingly paid for by the Buyer, using the payment methods offered by this Online Shop.
1.7. Parcel Posting is transfer of the parcel with goods purchased by the Buyer to Japanese Post Office. The Seller makes this transfer for the parcel delivery to the destination pointed by the Buyer.
2. Subject of the Agreement
2.1. The Seller delivers goods from Japan and the Buyer receives the goods in accordance with the Order placed by the Buyer via this Online Shop.
3. General provisions
3.1. If the Buyer made payment for goods ordered from the Online Shop, it means that the Buyer fully understands and adopted the terms of this Agreement.
3.2. Placing an Order by a Buyer implies that the Buyer was sufficiently acquainted with the offered goods for his decision to purchase them, accepted the conditions of supply, the price of each item of the Order, and the final price of the whole Order.
3.3. An order is considered as completed if Parcel Posting has been done by Seller. It means that the parcel has been transmitted to Post Office in Japan for shipping to the address specified by Buyer. After Parcel Posting is accomplished, the all obligations of the Seller should be considered as extinguished.
3.4. Before Parcel Posting has been done, the buyer or seller has the right to cancel the Order without explaining reasons. In case of cancellation of the Order by the Seller, cash already paid by the Buyer should be returned to the Buyer in full. In case of cancellation coming from the Buyer, the funds should be returned after deduction of expenses already done by the Seller with aim to accomplish the Order.
3.5. If an Order has been placed by the Buyer, the terms of this Agreement cannot be changed without full consent in between the both parties.
4. Seller Operation
4.1. To place an Order the Buyer should use software tools that provided by the Seller via this Website. Namely, the buyer places the Goods in the conventional virtual Cart, thereby forming a set of products designated for ordering and payment.
4.2. Seller informs the Buyer in advance about the expected date of Parcel Posting. This date can be changed by the Seller depending on circumstances.
4.3. If the Seller decides that one or several products from the Order cannot be delivered to the Buyer, the Seller may cancel the products delivery and partially accomplish the Order. Funds paid for the cancelled Items are returned to the Buyer in full. The Buyer must be informed about the cancellation and has a right to cancel the whole Order.
4.4. Communication between a Buyer and the Seller must be done through Internet i.e. email or via the Website. Phone calls to a phone number of the Buyer and the Seller are acceptable but in urgency only.
5. Price and Payment
5.1. Price for each item displayed for sale by this Online Shop is listed in Japanese yen and, simultaneously, in some another currencies. Nevertheless, the valid price is the price in Japanese Yen only. Therefore, payment for the Order can be accepted in Japanese yen only. The payment methods offered by the Seller are comprehensively described by this Website.
5.2. Buyer makes payment for Order following the procedure embedded into the Website by programming means.
5.3. The price of Order is automatically calculated by summing the prices of all the products of the Order. To calculate the final price, shipping cost is also automatically calculated and added to the above price.
5.4. Shipping cost is automatically calculated by summing weight values of all the products with subsequent automatic referring to official price list of Japan Post for parcel international delivery. Weight value of each item is evaluated and recorded by the Seller taking into account an averaged additional weight of postal packing material. The Goods can be sent only within an additional protective postal packaging. If real parcel weight noticeably differs to the automatically calculated weight, the Seller would make adjustment of shipping cost by returning money back to the Buyer or requesting additional payment.
5.5. Price of the Order cannot be changed once the Seller transmitted the parcel to Japanese Post Office for delivery to destination requested by the Buyer i.e. the Seller have made the Parcel Posting.
6. Parcel formation and shipping
6.1. Placing an Order the Buyer can select a postal service from the three possible (EMS, SAL or SM). Application of another shipping service is also possible basing on mutual agreement between the Buyer and the Seller.
6.2. All goods per one Order will be shipped in a single package (parcel) with aim to reduce shipping cost and, respectively, the Buyer expenses.
6.3. Before Parcel Posting, the Seller packs the goods into a parcel to provide safe transportation up to international destination defined by the Buyer. The Seller decides a method of packing and selects most proper packing materials taking into account his own experience and consideration.
6.4. Buyer tracks the parcel movement by himself and on his own by entering a tracking number into the relevant page of the official website of Japan Post. The Seller transmits the tracking number to the Byer immediately after Parcel Posting.
6.5. The Seller packs the goods together with a covering document (invoice). The invoice contains the next information - a list of the goods in the package (parcel) and their quantity, the price, the formal characteristics of the goods (color, weight, etc.), delivery conditions and the both names of the Seller and the Buyer.
7. Seller obligation
7.1. The Seller delivers the goods in accordance with the Buyer's Order and the terms of this Agreement.
7.2. The Seller does not disclose confidential information provided by the Buyer to any third party, if this nondisclosure does not contradict to Japanese Law.
7.3. The Seller provides information on the Order accomplishment upon receipt of the request from the Buyer, but not more often than once every three days.
7.4. The Seller contributes to the resolution of the dispute in the event of its occurrence between the Buyer and the Postal Service.
8. Buyer obligation
8.1. Buyer is fully responsible for selection of Goods.
8.2. Buyer makes payment as a final stage of the process of placing the Order.
8.3. Buyer reports to the Seller immediately if the parcel delivered by Postal Service has been damaged or another violation of the conditions of the Order happened by some or another reason. It could be related to number of items, condition of goods and etc.
8.4. The Seller, within his capabilities, promotes settlement of dispute in the event of its occurrence in between the Postal Service and the Buyer. The Seller recommends the Buyer to open the external packing of a parcel in presence of representative of the Postal Service and carefully verify integrity of the goods, especially inspect integrity of their individual factory packages. After integrity verification it is recommended to open each individual package and check the Product presence and integrity. The Buyer should carefully verify the Invoice shipped together with the parcel and its agreement with the real contents of the parcel. If there are claims the Buyer should request the representative to write an Act of external examination and an Act of internal examination in 3 copies each. The Act of external examination records all damages of the external packaging, and the Act of internal examination - all damages to the individual packages of goods, shortage and damage of the goods themselves.
8.5. The Buyer must promptly and in full provide information to the Seller that is necessary for the Seller operation and the Order accomplishment. In case of lack of such the information or doubts in its veracity, the Seller has the right to suspend the Order accomplishment up to receiving the proper information.
8.6. In case of need to refund from the Seller to the Buyer, the Buyer must inform his bank account details to which the Seller can return the funds. It is applicable in case if there are no any other methods for refunding.
9. Terms of service and repair of the goods purchased by the Buyer
9.1 If the Buyer finds damage, problems, and inconsistencies with the parameters declared by the manufacturer, etc., the Seller will do his utmost to repair the goods or to replace it. The repair and replacement, along with postal costs, fundamentally cannot be carried out at the expense of the Seller. In particular, with the consent of the Seller, the Buyer may send at his own expense the product back to Japan. After receipt of this product in Japan the Seller, on behalf of the buyer, requests warranty repair or replacement from manufacturer. Nevertheless, the Buyer cannot take responsibility in case the manufacturer refusing from warranty repair or exchange. Return postage is also must be paid by the Buyer in full. Concerning consumables and spare parts for the purchased products, the Seller will endeavor to do everything within his ability to meet the needs of a Buyer. The consumables and spare parts are not free of charge at any condition and must be purchased by the Buyer.
10. Limitation of liability of the Seller
10.1. The right of ownership of the goods and the related risks are transferred from the Seller to the Buyer at the time of Parcel Posting, i.e. immediately after the parcel has been transferred to postal service in Japan. Confirmation of the transfer is the documents issued by the postal service. In addition, a tracking number issued by Japan Post for tracking the parcel via their official website can be considered as a confirmation.
10.2. The seller cannot be responsible if the sent Goods do not comply with the customs regulation of the destination country, do not comply with the delivery conditions of the local postal service in this country, including (but not limited) the size and weight of packages of Goods (parcels).
10.3. The seller cannot be obliged to pay Customs Duties imposed by the Customs Authorities at the country of destination, and cannot be obliged to have any relation with the Customs Authorities of the destination country.
10.4. The Seller is not responsible for the actions of related services that are used by the Seller for the Order accomplishment, such as: banks, postal services, Internet service providers, email services, payment systems like VISA and PayPal, etc.
10.5. The seller makes every effort to supply the Goods in conformity with the characteristics declared by the Manufacturer, but does not guarantee this condition. As a consequence, purchased by the Buyer, the Goods cannot be returned, exchanged or repaired at the expense of the Seller. With the consent of the Seller, the Buyer can send Goods to Japan at his own expense for warranty or post-warranty repairs, for warranty replacement of the Goods, etc. For all these cases, the Seller only acts as the representative of the Buyer in Japan on a fully paid basis. All consumables and spare parts, if available in Japan, can be supplied by the Buyer to the Seller for a fee on a fully paid basis.
10.6. The Seller is trying to do his utmost to ensure safe transportation of Goods by means of proper and reliable parcel packaging. However, the Seller cannot be responsible for damage imposed to the Goods after the Parcel Posting i.e. after the parcel has been transmitted to Japan Post for shipping to destination country.
10.7. The Seller is not liable for damages caused by the Buyer as a result of proper or improper use of the Goods supplied by the Seller. The manufactures bear full responsibility for their products.
10.8. The Seller has the right to refuse from servicing any Byer without giving reason. Payment that has been already made by the Buyer will be cancelled or refunded without any negotiation.
11. Force majeure
11.1. The Buyer and Seller are released from liability for failure to perform their obligations if the failure is a consequence of such circumstances as war, earthquake, flood, fire and other natural disasters, acts of government, change of customs regulations, import and export restrictions incurred regardless of the Buyer and Seller.
12. Dispute resolution
12.1. In the event of a claim from the Buyer, the Buyer may contact the Seller. The parties will take all measures to resolve the dispute through negotiations. If the Parties have not reached agreement, all disputes shall be resolved in accordance with the procedure stipulated by the laws of Japan.
13. Other terms and conditions
13.1. The court's recognition of the invalidity of any provision of this Agreement shall not entail the invalidity of the remaining provisions.
13.2. All information materials presented on the Website are for reference only and may not fully convey accurate information about properties and characteristics of the Goods, including, but not limited, color, size and shape. The Buyer must clarify the all parameters of a Product through direct questioning the Seller. The ordering and purchase of goods by the Buyer means that he perfectly knows the all parameters of the Goods. Additionally, it means that the Buyer is a fully capable person recognized by the Law of his country as a full age person.
